Terms of Service – Unicorner

1. Overview
Unicorner is a technology platform that enables startup founders and investors to discover and connect. Unicorner does not act as a broker, intermediary, agent, or fiduciary in any transaction.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding agreements to use this platform.
3. Platform Role
Unicorner provides a discovery and introduction layer only. We do not participate in negotiations, facilitate transactions, verify the accuracy of user content, or act on behalf of any user.
4. No Financial or Legal Advice
All content, including AI-generated insights, analytics, or recommendations, is provided for informational purposes only and does not constitute financial, investment, legal, or tax advice.
5. User Responsibility
Founders are solely responsible for the accuracy and completeness of submitted information, and for ensuring no misleading, false, or fraudulent content. Investors are solely responsible for all investment decisions and for conducting independent due diligence.
6. External Communication
Once a connection is approved, communication occurs outside the platform. Unicorner has no control over and is not responsible for user interactions, negotiations, agreements, or outcomes.
7. No Guarantee of Results
Unicorner does not guarantee funding, investor responses, or successful matches.
8. Subscriptions and Payments
Unicorner offers free and paid plans. Paid plans may be billed monthly, annually, or on another billing cycle disclosed at the time of subscription. By subscribing, the user agrees to pay the fees displayed at checkout, including any applicable taxes.
Automatic Renewal
If the user selects a recurring plan, the subscription will renew automatically at the end of each billing cycle unless cancelled before the renewal date through the platform or by contacting support. The user authorizes Unicorner or its payment processor to charge the saved payment method on each renewal date according to the selected plan.
Saved Payment Methods
Unicorner may use a third-party payment processor to securely process payments and store payment instruments. Unicorner does not store full card details on its servers; a secure token issued by the payment processor may be stored to enable recurring charges with the user’s consent. The first payment may require 3D Secure authentication where required by the bank or processor; subsequent renewals may use the saved payment method or token without re-entering card details.
Cancellation
The user may cancel their subscription at any time before the next renewal date and will retain access to paid features until the end of the current paid period, unless otherwise stated or the account is terminated for breach of these terms. Deleting the app or ceasing to use the platform does not by itself cancel a subscription; cancellation must occur through the platform or by contacting support.
Refund Policy
Subscription fees are non-refundable after the subscription period begins, unless expressly stated otherwise or unless a material technical failure attributable to Unicorner prevented access to the paid service during the subscription period. Unicorner is not responsible for refunds resulting from non-use, forgetting to cancel before renewal, or the service not meeting subjective expectations after activation, except as required by applicable law.
Failed Payments
If a renewal charge fails for any reason — including expired card, bank decline, or insufficient funds — Unicorner or the payment processor may retry the charge or request that the user update the payment method. Continued payment failure may result in suspension, downgrade, or cancellation of access to paid features, while the account remains subject to any free tiers available.
Pricing and Plan Changes
Unicorner reserves the right to modify plan pricing, features, or billing cycles. If a change affects an existing recurring subscription, the user will be notified before the new price takes effect, and may cancel before the next renewal if they do not wish to continue at the updated price.
Payment Processor
Payments are processed by independent, licensed or accredited payment service providers. The use of payment instruments is also governed by the terms of the payment processor and the issuing bank. Unicorner is not responsible for delays, refusals, or failures caused by the bank, payment processor, or card networks, except where directly attributable to Unicorner.
Recurring Subscription Acknowledgements
By activating a recurring subscription, the user acknowledges they have been clearly informed that the subscription will renew automatically, that fees will be charged on a recurring basis according to the selected plan, and that they may cancel before the next charge through the mechanism provided in the platform.
9. Acceptable Use
You agree not to submit false or misleading information, engage in fraud or impersonation, misuse other users’ data, attempt unauthorized access to the platform, or use the platform for illegal purposes.
10. Intellectual Property
All platform content, design, branding, and technology are owned by Unicorner. Users retain ownership of their submitted content but grant Unicorner a non-exclusive, worldwide license to display and operate such content within the platform.
11. AI Disclaimer
AI features are provided "as is" and may produce inaccurate, incomplete, or misleading outputs. Users must independently verify any information before relying on it.
12. Data and Privacy
We collect and use data to operate and improve the platform. While we implement reasonable safeguards, we do not guarantee absolute data security.
13. Third-Party Services
The platform may rely on third-party services (e.g., analytics, storage, APIs). We are not responsible for failures or issues arising from such services.
14. Limitation of Liability
To the fullest extent permitted by law, Unicorner shall not be liable for financial losses, indirect or consequential damages, loss of opportunity, inaccurate or misleading user content, or decisions made based on platform data.
15. Account Termination
We may suspend or terminate accounts at our discretion if terms are violated, misuse is detected, or legal risk arises.
16. Modifications
We reserve the right to update these Terms at any time. Continued use constitutes acceptance of changes.
17. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent courts of Riyadh shall have jurisdiction over any dispute, unless otherwise required by applicable law.
